Inspired Marketing, Inc. is an S-corporation located in Illinois, doing business through its principal web presences www.inspiredmedia.net, www.inspiredmarketinginc.com and www.entrepreneur-resources.net. All rights are reserved. It was formerly run as a sole proprietorship under the name Inspired Graphics Media, which you will see listed in these terms. Note though, that all projects will be completed with Inspired Marketing, Inc. and billed from that entity or its President, Dequiana Jackson.

No part of Inspired Graphics Media’s Internet site may be reproduced in any way, or by any means, nor original ideas copied without the prior written permission of Inspired Graphics Media. This includes, but is not limited to: client/server-side programming code, ad copy, logos, graphics, photos, original ideas, flash files, fonts, clip art, graphic art, Word/PDF documents, scripts, banners, or site design. Any and all violations will be dealt with to the fullest extent of international copyright law.

Additional Terms & Conditions

Laws Affecting Electronic Commerce:

The Client agrees that it is responsible for complying with the laws, taxes, and tariffs related to e-commerce, and, except as otherwise provided in this Agreement, the Client will hold harmless, protect, and defend Inspired Graphics Media from any claim, suit, penalty, tax, or tariff arising from the Client’s use of Internet electronic commerce.

Code, Software, Stock Images:

Ownership of all code, stock images and software remains the property of its respective owner(s) and/or Inspired Graphics Media. The Client is granted use of the final web design as intended for their business or personal use.

Submitted Content:

Inspired Graphics Media will endeavor to meet specified deadlines agreed to with the Client and will not be held responsible if target launch date cannot be met due to late submission of materials by Client.  Any excessive alterations required for Client-provided content after pages are approved and constructed will be billed at Inspired Graphics Media’s web development/programming hourly rate of $100.00.  Inspired Graphics Media will not be held responsible if Client-submitted content contains errors.

Copyrights and Trademarks:

Client represents to Inspired Graphics Media and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Inspired Graphics Media for inclusion in the Web site are either owned by Client, or that Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Inspired Graphics Media and its sub-contractors from any claim or suit arising from the use of such elements furnished by Client.

Copyright to Work:

Inspired Graphics Media retains copyright ownership of all original work or parts contained therein, whether preliminary or final.  Upon receipt of full payment, Client is granted license to use the final web design and/or provided graphics (logo, business cards, etc.) for their business as needed for marketing, advertising and other media.  The ownership of original documentation, technical information, computer programs, know-how, copyrights, models, drawings, artwork, including sketches, specifications, coding, and any other materials created or developed by Inspired Graphics Media or sub-contractor in the process of making the Work, shall remain with or be returned to Inspired Graphics Media.  The above-mentioned items are specifically not transferred to Client, and remain the property of their respective owners.  Inspired Graphics Media and its sub-contractors retain the right to copy and display the elements of this Web site in their portfolios.  Upon completion of Work, the copyright will only be released to the Client upon Inspired Graphics Media’s signing of the Release of Copyright.

Design Credit:

Design credit in the name of Inspired Graphics Media shall accompany the Work at the bottom of each web page, in the form of an image file (jpg or gif) or a textual link, such as “Site Design: Inspired Graphics Media.”  Removal or modification of credit is prohibited without permission.

Sole Agreement:

The Agreement contained in this “Web Design Services Contract” constitutes the sole Agreement between Inspired Graphics Media and Client regarding this Web site.  Any additional work not specified in this contract must be authorized by a written change order.  All prices specified in this contract will be honored for thirty (30) days after both parties sign this contract.  Continued services after that date will require a new Agreement.

Initial Payment and Refund Policy:

This contract becomes binding with the initial project deposit, which varies by project.  If Client halts work and applies by registered letter for a refund within 30 days of date of contract, work completed shall be billed at the hourly rate stated above, and deducted from the initial payment, the balance of which shall be paid back to Client.  If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, Client shall be liable to pay for all work completed at the hourly rate stated above.  No portion of this initial payment will be refunded unless written application is made within 30 days of signing this contract.

Entire Understanding:

This contract is for the purchase of products and/or services from Inspired Graphics Media and constitutes the sole agreement between Inspired Graphics Media and the Client regarding this project.  It becomes effective upon purchase.    Both parties warrant that they have read and understand the terms set forth in this agreement. The Client and Inspired Graphics Media are independent parties and nothing in this Agreement shall constitute either party as the employer, principal, partner of or joint venturer with the other party.  Neither the Client nor Inspired Graphics Media has any authority to assume or create any obligation or liability, either express or implied, on behalf of the other.  It is the spirit of this agreement that this will be a mutually beneficial arrangement for the Client and Inspired Graphics Media.
